Terms and Conditions ("Agreement")
This Affiliate Agreement (“Agreement”) governs your participation in the Backstage Affiliate Program. By clicking “I Accept the Terms and Conditions” and submitting your application, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. PartiesAll references to “Backstage” herein refer to Backstage, Inc. All references to “You” and “Your” refer to the person or entity applying to become an affiliate. Backstage and You are each referred to as a “Party” and collectively as the “Parties.”If your legal business name or account ownership changes, you must notify Backstage in writing within 24 hours at contact@yourstage.io.
2. Application & Approval • You must submit accurate, complete information when applying for the Backstage Affiliate Program. • Backstage retains sole discretion in approving or rejecting applications. Approval is not guaranteed. • Backstage may reject applications for any reason, including but not limited to a history of spam, fraudulent behavior, or brand misalignment.
3. Consent to Be ContactedBy applying, you consent to receive communications from Backstage regarding the Affiliate Program via email, SMS, or phone, including automated messages. You may revoke consent only by written notice to Backstage.
4. Compensation & Payment Terms • If approved, you will receive a unique Affiliate ID linked to your custom affiliate URL. • You will earn commissions for each referred sale made through your Affiliate ID. • The customer must remain active and in good standing for 45 days for you to earn a commission. • Commissions are paid on the 1st of each month for the prior month’s qualified sales.
4.1 Commission Structure • Commission rates vary based on the specific affiliate campaign you are part of. • You can always view your current commission payout by logging into the platform and navigating to the affiliate campaign details.Commissions are paid in USD via PayPal or another approved method. Some payment processors may charge fees that will be deducted from your payout.
4.3 Tax & Payout RequirementsIMPORTANT: Before you can receive commissions, you must provide: • A valid W-9 (U.S. affiliates) or W-8 BEN (non-U.S. affiliates) tax form. • A valid payout method (e.g., PayPal email address or bank details).If you fail to provide a valid W-9/W-8 form or enter your payout information within 90 days, your earned commissions will be forfeited and will not be recoverable.
4.4 No Self-Referrals • You cannot earn commissions from purchases made on your own affiliate link. • You may not pay for another person’s product or subscription to earn commissions. • Attempting to manipulate commission payouts will result in immediate termination and forfeiture of all pending commissions.
5. Prohibited ConductAs an affiliate, you agree not to: • Use spammy, misleading, or deceptive marketing tactics. • Offer cash rebates or monetary incentives for signing up. • Create websites or social media pages that falsely represent Backstage. • Engage in false advertising, including misleading income claims. • Use paid ads to bid on Backstage’s brand name, trademarks, or misspellings.
6. Branding & Marketing Guidelines • You may not alter Backstage’s official logos, trademarks, or branding without written approval.
7. Chargebacks, Refunds, & Fraudulent Sales • If a sale results in a refund or chargeback, your commission for that sale will be deducted from future payouts. If Backstage determines that a sale was made through fraudulent activity, we will not pay a commission and may terminate your account.
8. Termination • Either party may terminate this Agreement with 30 days’ written notice. • Backstage may immediately terminate your affiliate account if you: • Violate any terms of this Agreement. • Engage in fraudulent behavior. • Have no commissions earned for 12 months.Upon termination, all unpaid commissions are forfeited.
9. Limitation of Liability • Backstage is not responsible for any losses, damages, or lost profits resulting from participation in the Affiliate Program. • Total liability for any claim under this Agreement is limited to the total
10. Dispute Resolution & No Lawsuits • All disputes must be resolved via binding arbitration in Los Angeles, California. • No class actions – all claims must be individual. • Waiver of jury trial – you waive any right to sue Backstage in court. • Backstage is not responsible for any indirect, incidental, or consequential damages related to this Agreement.
11. Independent Contractor Relationship • You are an independent contractor, not an employee of Backstage. • You cannot bind Backstage to any agreements or obligations.
12. Modifications & Amendments • Backstage may modify this Agreement at any time. • Any changes take effect immediately upon posting. • Continued participation after modifications constitutes acceptance of the updated terms.
