Terms and Conditions ("Agreement")
References to “Backstage” refer to Backstage, Inc.References to “You” or “Your” refer to the person or entity applying to become an affiliate.Backstage and You are each referred to as a “Party” and collectively as the “Parties.”If your legal business name or account ownership changes, you must notify Backstage in writing within 24 hours at [email protected].
You must submit accurate and complete information when applying for the Backstage Affiliate Program.Backstage retains sole discretion in approving or rejecting applications. Approval is not guaranteed.Applications may be rejected for reasons including but not limited to a history of spam, fraudulent behavior, or brand misalignment.
By applying, you consent to receive communications from Backstage regarding the Affiliate Program via email, SMS, or phone (including automated messages). You may revoke consent only by providing written notice to Backstage.
Commissions are paid on the 15th day of the month following the month in which they were earned. For example, commissions earned in April will be paid on May 15.Payments are made via PayPal or another approved payout method, provided tax information is submitted and payment thresholds are met.
Commission rates vary depending on the specific affiliate campaign you are part of. You can view your current commission payout by logging into the platform and navigating to the affiliate campaign details.Customers must remain active and in good standing for 45 days before commissions are finalized.Commissions are paid in USD. Any fees charged by payment processors will be deducted from your payout.
Before receiving commissions, affiliates must provide:
--A valid W-9 (U.S.-based affiliates) or W-8 BEN (non-U.S.-based affiliates) tax form.
--A valid payout method (e.g., PayPal email address or bank details).
Failure to provide required documentation within 90 days of earning commissions will result in forfeiture of those commissions without recovery.
Affiliates cannot earn commissions from purchases made using their own affiliate links. Paying for another person’s product or subscription to earn commissions is strictly prohibited. Violations will result in immediate termination of your affiliate account and forfeiture of all pending commissions.
If you cancel your subscription or account with Backstage:
Any future earned commissions that have not yet been paid will be forfeited. This forfeiture is final and non-negotiable under Oregon law governing commission payments (ORS §652.140).
As an affiliate, you agree not to:
--Use spammy, misleading, or deceptive marketing tactics.
--Offer cash rebates or monetary incentives for sign-ups.
--Create websites or social media pages that falsely represent Backstage.
--Engage in false advertising, including misleading income claims.
--Use paid ads to bid on Backstage’s brand name, trademarks, or misspellings.
Violations of these rules may result in immediate termination of your account and forfeiture of all unpaid commissions.
If a sale results in a refund or chargeback:
--The corresponding commission will be deducted from future payouts.
--If Backstage determines that a sale was made through fraudulent activity, no commission will be paid for that sale.
--Additionally, fraudulent activity may result in termination of your affiliate account.
Affiliates participate as independent contractors and are not employees of Backstage. Affiliates cannot bind Backstage to any agreements or obligations.
8.1 Termination by Either Party
Either Party may terminate this Agreement with 30 days’ written notice.
8.2 Immediate Termination by Backstage
Backstage reserves the right to immediately terminate your affiliate account if:
--You violate any terms of this Agreement.
--You engage in fraudulent behavior.
--You fail to earn commissions for 12 consecutive months.
Upon termination:
All unpaid commissions are forfeited without recovery.
All disputes related to this policy must be resolved via binding arbitration conducted under Oregon arbitration rules (UTCR Chapter 13). Arbitration shall take place in Hood River County unless otherwise agreed upon by both parties.
9.1 No Class Actions
You agree that all claims must be brought individually and not as part of a class action, collective action, or representative proceeding.
9.2 Waiver of Jury Trial
You expressly waive any right to a jury trial for disputes related to this policy.
Backstage may modify this policy at any time with changes effective immediately upon posting on our website. Continued participation after modifications constitutes acceptance of the updated terms.
