Terms and Conditions ("Agreement")
Important Notice
By using Backstage, you agree to the following critical terms:
Chargebacks & Payment Disputes: Any disputed or reversed charges for valid transactions will result in immediate account termination and permanent deletion of all data.
Bank & Processor Fees: Any bank or credit card fees beyond standard processing costs—including chargebacks, insufficient funds, or reversed payments—will be rebilled at double the original fee.
Wallet Management & Usage Charges: Wallet funds are used for usage-based services such as SMS, calls, and email sends. Charges occur per message, call minute, or email sent. These usage charges are non-refundable once incurred.
Refund Policy: Refunds apply only to unused wallet balances upon full account cancellation. No partial refunds or credits for delivered services.
Data Backups: Backstage is not responsible for restoring your account or data. You must maintain your own backups at all times.
These provisions form part of the binding Terms of Service below. Continued use of Backstage confirms your acceptance.
Backstage Terms of Service
These Terms of Service (“Agreement”) govern your use of the software, tools, and services provided by Backstage, a division of Steele Piper LLC (“Backstage,” “we,” “us,” or “our”). By accessing or using our platform, you agree to be bound by this Agreement. If you do not agree, you must not use Backstage.
This Agreement is governed by the laws of the State of Oregon and is intended to protect both your rights as a consumer and our rights as a service provider.
1. License Grant & Scope
We grant you a non-exclusive, non-transferable, revocable license to use our software and services under this Agreement, limited to the period of your paid subscription or purchase.
This license is personal to you and may not be assigned, transferred, or shared without our prior written consent.
This license only covers the specific products, services, or subscription plan you have purchased. Additional features may require separate fees or upgrades.
2. Subscription & Payments
Recurring Billing
Subscription payments are billed automatically each month through Stripe, based on the subscription tier you select. By subscribing, you authorize Backstage to charge your chosen payment method on a recurring basis until you cancel in accordance with these Terms.
Failed Payments & Suspension
If your payment method fails three (3) consecutive times, your account will be suspended and access to the platform restricted.
Access will only be restored once all outstanding balances and fees are paid in full.
Any one-time or setup fees must be paid prior to the start of services.
Lapsed Subscriptions & Reactivation
If your subscription lapses for any reason (including failed payments, disputed charges, or cancellation):
Reactivation will be subject to the current subscription tiers, pricing, and feature sets available at the time of reactivation.
Any setup fees associated with the new plan will be due at the time of reactivation.
Reactivated accounts will not retain any features, pricing, or promotions from prior subscription periods.
Plan Changes & Feature Availability
Backstage may update, modify, or discontinue features at any time.
Features available under a given plan are defined by the current published plan details at the time of subscription or reactivation.
Customers with uninterrupted active subscriptions will retain their original subscription price until cancellation, lapse, or plan change. Pricing may be grandfathered, but feature availability is not.
Price Changes
Backstage reserves the right to adjust subscription pricing with reasonable notice. If you maintain an uninterrupted active subscription, your current price will remain in effect until cancellation, lapse, or plan change. At that point, reactivation will occur at the updated price.
Authorized Payment Methods
All subscription payments must be made using a valid credit card, debit card, or bank account belonging to the account owner or the account owner’s business entity.
Use of third-party payment methods (including cards or bank accounts not tied to the account owner or their business) is strictly prohibited unless expressly authorized by Backstage in writing.
Any account found using unauthorized payment methods is considered in breach of this Agreement and may be suspended or terminated immediately without refund.
Backstage reserves the right to request verification of account ownership and payment authorization at any time. Failure to provide satisfactory proof may result in suspension or termination.
Additional Fees for Disputes and Returned Payments
You agree that any credit card or bank-related fees beyond standard processing fees that result from your actions—including but not limited to chargebacks, disputed charges for legitimate transactions, insufficient funds, or reversed ACH payments—will be rebilled to your account or offset affiliate commission payments, at the discretion of the company, at a rate equal to double the original fee assessed by the bank or payment processor.
Example: If a bank charges Backstage $30 for a chargeback, your account will be charged $60 in addition to the original balance owed.
These fees cover administrative costs and risk associated with payment disputes.
Disputed Charges and Account Termination
Any disputed charges for transactions that were valid under this Agreement will result in immediate cancellation and permanent deletion of your account.
You are solely responsible for maintaining your own backup of all data stored in your account prior to cancellation. Backstage is not liable for any data loss for any reason, including but not limited to account suspension or termination related to payment disputes.
3. Wallet Recharge and Usage Charges
Backstage uses a wallet-based system for certain usage-based services, including but not limited to:
SMS messages
Voice calls
Emails
Charges are incurred per message, per call minute, or per email sent and are deducted from your wallet balance. By using these features, you agree to all usage fees associated with these actions.
You are responsible for maintaining a positive wallet balance to ensure uninterrupted services. If your account repeatedly triggers multiple small recharges in a single day (e.g., $10 multiple times), Backstage reserves the right—at its sole discretion—to:
Increase the minimum recharge amount (e.g., from $10 to $25 or higher), and/or
Increase the minimum required wallet balance (e.g., from $10 to $25 or higher).
These adjustments may be applied without notice and take effect immediately to protect the company from excessive processing fees and administrative costs.
4. Custom Builds & Intellectual Property
Any custom builds, funnels, templates, or features created by Backstage remain the property of Backstage and may be reused, resold, or distributed at our discretion.
Customers may request an exclusive-use license, which may be granted at additional cost and only with a separate written agreement.
Unless such a license is purchased, all rights remain with Backstage regardless of any fees paid for custom work.
5. User Conduct & Compliance
You agree not to use the platform for any illegal, unethical, or harmful purpose, including but not limited to:
Transmitting unlawful, defamatory, harassing, obscene, or abusive content
Attempting unauthorized access to accounts, systems, or data
Engaging in fraudulent activity or deceptive marketing practices
Uploading malware, viruses, or scripts
Spamming, phishing, scraping data, or exploiting the platform or its users
Violations may result in immediate suspension or termination of your account and may be reported to authorities.
6. Account & Sub-Account Transfers
If you request that your data or account be transferred to another provider outside of Backstage, a Transfer Fee equivalent to one month of your most recent subscription price will apply.
7. Data Privacy & Handling
Backstage stores and processes user data in compliance with the Oregon Consumer Privacy Act (OCPA).
Our platform integrates with GoHighLevel (GHL) and is subject to GHL’s data policies as well as our internal privacy practices.
We do not sell or share user data with third parties.
We prohibit data resale, unauthorized harvesting, scraping, or any use that violates consumer privacy.

8. Third-Party Services
Backstage integrates with third-party platforms including (but not limited to):
Stripe (payments)
Meta (Facebook/Instagram ads)
Google (email, reviews, analytics)
GoHighLevel (CRM and automation)
By using these features, you agree to comply with each provider’s terms.
Backstage is not responsible for outages, errors, or liabilities arising from third-party services.
9. SMS Communications
Backstage may send occasional SMS messages related to promotions, service updates, or account notifications.
You can unsubscribe at any time by replying “STOP.”
Message frequency varies; carrier rates may apply.
10. Intellectual Property
All Backstage software, content, trademarks, logos, and designs remain the property of Backstage or its licensors.
No ownership rights are transferred to you under this Agreement.
11. Indemnification
You agree to indemnify and hold harmless Backstage and Steele Piper LLC from any claims, damages, or losses arising from your use of the platform, violation of this Agreement, or infringement of third-party rights.
12. Termination
We may terminate your license at any time if you breach this Agreement.
Upon termination, all rights granted to you end immediately.
No refunds or credits will be issued for terminated accounts.
Your obligations related to confidentiality, intellectual property, and indemnification survive termination.
13. Amendments
Backstage may update this Agreement at any time. Updates become effective upon posting to our website. Continued use of the platform after posting constitutes acceptance of the changes.
14. Dispute Resolution
All disputes will be resolved by binding arbitration in Lane County, Oregon, before a licensed Oregon attorney with at least five years’ experience.
Arbitration is the exclusive remedy, except that Backstage may seek to enforce an arbitration award in Oregon state court.
Disputes must be brought individually (no class actions, collective actions, or representative proceedings).
You waive your right to a jury trial to the fullest extent permitted by law.
15. Refund Policy
All sales of digital products, subscriptions, and services are final. No refunds, exchanges, or prorated credits will be issued unless required by law. Oregon consumer protection rights remain intact and are not waived by this policy.
Usage-Based Charges
Usage-based charges are non-refundable once incurred, as they represent services already delivered. Refunds, when applicable, are limited to any unused wallet balance upon full account cancellation. No partial refunds, credits, or reversals will be issued for sent messages, delivered emails, or executed calls.
16. Entire Agreement & Contact
This Agreement constitutes the entire agreement between you and Backstage regarding your use of the platform and supersedes all prior agreements.
