Terms of Service Agreement
Introduction & Acceptance:
This Agreement governs the use of the software, tools, and services provided by Backstage ("we", "us", or "our"). By accessing or using our platform, you signify your agreement to these terms. If you disagree with any part of the terms, do not use Backstage. These terms have been drafted in accordance with Oregon law to protect both your rights as a consumer and our intellectual property interests.
The terms outlined below constitute a legally binding contract between you and Backstage. Please review them carefully before using our software products.
License Grant & Scope:
We grant you a non-exclusive, non-transferable license to use our software and services under the terms of this Agreement, limited to the period of your subscription or purchase. This license is personal to you and cannot be shared or transferred to another individual or entity without our explicit written permission.
The scope of this license extends only to the specific products and services you have purchased or subscribed to. Any additional features or services may require separate licensing agreements or additional fees as specified at the time of purchase.
Intellectual Property:
Backstage, including its software, content, design, logos, trademarks, and associated materials, is protected under intellectual property laws and remains the exclusive property of Backstage or its licensors. You are granted no ownership rights to the platform, aside from the usage rights outlined herein. This protection extends to all versions, updates, and derivative works related to our software products.
You agree not to reproduce, distribute, modify, create derivative works of, publicly display, or exploit our intellectual property in any way except as expressly allowed under this Agreement. All rights not explicitly granted to you remain reserved by Backstage and its licensors.
Indemnification Obligations:
You agree to indemnify and hold Backstage harmless from any claims, damages, or losses arising from your use of our platform, violation of this Agreement, or infringement of third-party rights. This indemnification extends to all reasonable legal fees and expenses that may be incurred in defending against such claims.
This obligation continues beyond the termination of your use of our platform, especially for claims that may arise from content you created or actions you took while using our services.
Termination:
We may terminate your license at any time without notice if you breach this Agreement. Upon termination, all use of the Product must cease, and any copies destroyed. Your obligations regarding confidentiality, intellectual property, and indemnification survive any termination of this Agreement.
We reserve the right to suspend access to our services temporarily or permanently at our sole discretion if we reasonably believe you have violated this Agreement or if continued access poses security or operational risks to our platform.
You have the right to cancel your subscription at any time.
Amendments to Agreement:
We may modify this Agreement at any time, with changes effective upon posting on our website. Your continued use of the Product constitutes acceptance of these changes. We will make reasonable efforts to notify users of significant changes through email notifications or notices on our website. It is your responsibility to review these terms regularly to ensure familiarity with the current version.
Engaging in reverse engineering, decompiling, or similar activities to derive the source code of the Product is prohibited. Additionally, you may not use our software to develop competing products, to violate any applicable laws, or to infringe upon the rights of third parties. You agree to use our software only for lawful purposes and in accordance with all applicable regulations.
By using Backstage, you agree that any disputes, claims, or controversies arising from or relating to this Agreement, the use of our platform, or any transactions with Backstage shall be exclusively resolved through binding arbitration, conducted in accordance with Oregon's arbitration rules (UTCR Chapter 13). Arbitrators must meet the qualifications specified by Oregon law, including being an active member in good standing of the Oregon State Bar who has been admitted to the bar for at least five years.
The arbitration proceedings shall take place in Oregon unless otherwise agreed by both parties. The decision rendered by the arbitrator shall be final and binding on all parties involved.
You agree that you may only bring claims on an individual basis, and not as a plaintiff or member of any class action, collective, or representative proceeding. This provision ensures that all disputes are resolved efficiently while maintaining the individual nature of any potential claims against Backstage.
You expressly waive any right to a trial by jury in any legal proceeding related to this Agreement. This waiver applies to all claims and disputes that may arise in connection with your use of our software and services, subject to limitations permitted by Oregon law.
This Agreement shall be governed by and construed under the laws of the State of Oregon. Any legal action filed to interpret or enforce this agreement shall be filed in Hood River County, Oregon Circuit Court. Both parties consent to the exclusive jurisdiction of such courts for any proceedings related to this Agreement.
Neither party is liable for failure to perform obligations due to unforeseen circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, natural disasters, pandemics, power outages, and governmental actions. If such an event occurs, the affected party will use reasonable efforts to notify the other party and resume performance as soon as practicable.
The Product is provided "as is", without any warranties, expressed or implied. The licensee assumes all risks related to quality and performance. To the maximum extent permitted by Oregon law, we disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. This disclaimer does not affect any warranties that cannot be excluded under applicable consumer protection laws.
If any provision is found invalid or unenforceable, the remaining provisions will remain in effect. The unenforceable provision shall be replaced with an enforceable provision that most closely achieves the intent of the original provision within the limits of applicable law.
You agree to maintain the confidentiality of any proprietary information disclosed by us, extending beyond this agreement's termination. This includes, but is not limited to, source code, technical specifications, customer data, and business strategies. You will implement reasonable security measures to protect such confidential information from unauthorized access or disclosure.
Any financial information is for educational purposes only and not intended as legal or financial advice. Consult a professional for business decisions. We do not guarantee the accuracy, completeness, or timeliness of any educational content provided through our platform.
All sales are final. No refunds or exchanges will be provided for the digital product purchase. This policy is prominently disclosed and complies with Oregon's consumer protection standards. By completing your purchase, you acknowledge and agree to this refund policy. This refund policy does not affect any statutory rights that cannot be waived under Oregon law.
Backstage complies with the Oregon Consumer Privacy Act (OCPA), effective July 1, 2024. As a user, you have specific rights regarding the collection and processing of your personal data in accordance with this law. Details about data collection practices, your rights to access, delete, and correct personal information, and how to exercise these rights are provided in our separate Privacy Policy.
This Agreement is the entire agreement between you and Backstage regarding the Product and supersedes all prior agreements. No oral or written information or advice given by Backstage or its representatives shall create a warranty or modify this Agreement unless expressly incorporated herein.
We reserve the right to modify these terms at any time. Your continued use after changes means you accept the new terms. Review regularly. Significant changes to these terms may be communicated to you via email or through notifications on our website.
